Terms and Conditions

1. Identification of parties

These Terms and Conditions (hereinafter "T&C") govern the contractual relationships between:

PULSE.digital Sàrl

Route de la Chaux 4c, 1030 Bussigny, Switzerland

(hereinafter "PULSE.digital")

and any legal entity or natural person acting for professional purposes (hereinafter "the Client").

Certain services may be performed, in whole or in part, by the following entity:

PULSE.digital Maroc SARL

Office 7, Guélizium Business Center, Avenue Mohamed V, 40000 Marrakech – Morocco

RC Marrakech: 79397 – ICE: 001866466000022

The contract is deemed concluded with the entity expressly mentioned in the quote or signed contract. In the absence thereof, the Swiss entity shall prevail.

2. Scope of application

These T&C apply to all services provided by PULSE.digital, including:

  • provision and management of talents (nearshoring, team extension);
  • execution of digital projects on a fixed-price or time-and-materials basis;
  • consulting, architecture, project management or support services.

Any contrary or derogatory condition shall only be valid after written agreement from PULSE.digital.

3. Contract formation

The contract is formed upon signing a quote, purchase order, framework agreement or any equivalent contractual document.

These T&C prevail over any other Client document, unless expressly stipulated otherwise.

4. Nature of obligations

PULSE.digital is bound by an obligation of means.

Unless otherwise stipulated, PULSE.digital does not guarantee any specific result, mandatory deadline or economic performance.

5. Provision of talents

Talents made available:

  • remain employees of or contractually bound to PULSE.digital Maroc;
  • work under the operational coordination of the Client, without direct legal subordination;
  • may not be recruited directly by the Client without prior written agreement from PULSE.digital.

Any violation of this clause may give rise to compensation.

6. Client obligations

The Client undertakes to:

  • provide complete, accurate and up-to-date information;
  • actively collaborate in the proper execution of services;
  • comply with applicable legal, social and safety rules;
  • refrain from any direct solicitation of talents without authorization.

7. Prices and payment terms

Prices are expressed excluding taxes.

Unless otherwise stated:

  • monthly invoicing, payable in advance;
  • payment term: 10 days from the invoice date.

Any late payment shall result, without prior formal notice, in:

  • late payment interest;
  • suspension of services;
  • the right to immediate termination at the Client's expense.

8. Intellectual property

Unless otherwise stipulated:

  • deliverables produced are transferred to the Client after full payment;
  • methods, tools, frameworks, know-how and pre-existing elements remain the exclusive property of PULSE.digital.

Any unauthorized reuse is prohibited.

9. Confidentiality

Each party undertakes to keep strictly confidential the information exchanged under the contract, during its term and after its expiration.

10. Data protection

Personal data processing is governed by the Privacy Policy published on the PULSE.digital website.

11. Liability

PULSE.digital's liability is strictly limited to the total amount invoiced to the Client over the twelve (12) months preceding the triggering event.

PULSE.digital shall not be held liable for indirect damages, loss of business, data loss or loss of profit.

12. Force majeure

Neither party shall be held liable in the event of force majeure under applicable law.

13. Termination

Unless otherwise contractually stipulated, either party may terminate the contract with thirty (30) days' written notice.

Any period started remains due.

14. Applicable law and jurisdiction

  • Contracts concluded with the Swiss entity: Swiss law, courts of the canton of Vaud.
  • Contracts concluded with the Moroccan entity: Moroccan law, courts of the registered office.

15. Final provisions

If any clause of these T&C is declared null or unenforceable, the other provisions shall remain in full force and effect.

The failure of PULSE.digital to enforce any clause shall not constitute a waiver.
